Terms & Conditions - Quotations

The specific SaaS services ("Services") and their included features are as detailed in this Quote. Usage is subject to the limitations specified (e.g., number of users, data volume).

Prices are as quoted and exclude all applicable taxes (unless otherwise stated). Invoices are due Net 30 days from the invoice date. Late payments may incur charges.

The initial subscription term is as stated in this Quote. Subscriptions will automatically renew for successive terms of equal duration at the then-current standard rates, unless either party provides written notice of non-renewal at least 30 days prior to the end of the current term.

All intellectual property rights in the Services (the software, platform, and underlying technology) remain exclusively with Biddingo. You are granted a limited, non-exclusive, non-transferable right to use the Services during the subscription term.

You retain all ownership rights to your data. We are committed to maintaining industry-standard security measures to protect your data, as detailed in our DPA.

Standard support services are included as described in our SLA.

Our total liability to you under this Quote and any resulting agreement will be limited to the amounts paid by you for the Services during the twelve (12) months immediately preceding the event giving rise to the claim (or, if the claim arises within the first 12 months of the initial term, the total fees paid to date). We are not liable for indirect, incidental, special, or consequential damages.

This Quote and any resulting agreement shall be governed by the laws of the State of California, USA, without regard to its conflict of law principles.

This Quote is valid for [e.g., 30] days from the date of issue. By signing below, you agree to these terms and acknowledge that a complete MSA and DPA will be provided for your review and execution to fully govern the Services.
